1. Purpose and Scope

1.1. Your use of this portal and the information available through it is subject to the following terms and conditions of use (“TOU”), which may be amended by us from time to time.

1.2. By using our portal, you are confirming that you accept the TOU and that you agree to comply with them. If you do not agree to these TOU, you must not use this portal.

1.3. Any commercial terms and conditions which are agreed between you and us will be set out in a separate document, otherwise you can find our standard terms on this portal. Where you are subject to a separate agreement or undertaking, then that agreement or undertaking shall apply in addition to and, in the case of conflict or inconsistency, in priority to these TOU.

3. Information About Us

3.1. This portal is provided by International Procurement and Logistics Limited, a company incorporated in England and Wales (company number 05104448), whose registered office is at Asda House South Bank, Great Wilson Street, Leeds, West Yorkshire, LS11 5AD (“IPL”). Our main trading address is Unit 1, Foxbridge Way, Normanton, WF6 1TN. Our VAT number is GB 362 0127 92.

3.2. References on this portal and in these TOU to: 

  • “IPL” or "we" or "our" or "us" shall mean the company referred to above and/or any other relevant group company (including, but not limited to, Forza Foods Limited and Kober Limited); and 
  • "you" or "your" shall mean the user of this portal. If you are accessing or using this portal in your capacity as an employee, director, officer, partner or agent of a corporate or unincorporated entity "you" and "your" shall refer to you and such entity. You represent that you are authorised to accept these TOU on behalf of such entity and agree to be personally bound by these TOU. You are also responsible for ensuring that anyone who accesses this portal using your systems or assets are made aware of these TOU and that they comply with them.
 

4. Changes to Our Portal

4.1. We may update these TOU from time to time and may change the content at any time. 

4.2. It is your responsibility to familiarise yourself with the TOU applying at the time and regularly ensure that you are aware of any changes. 

4.3. Your use of the portal after a change has been posted shall be deemed acceptance of the updated or modified TOU.

 

5. Accessing Our Portal

5.1. Our supplier portal is made available to you in order for us to share key documents with you. You should only access the portal using the unique login details provided to you by us.

5.2. We cannot guarantee that our portal, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our portal or its contents without notice. We will not be liable to you if for any reason our portal is unavailable at any time or for any period.

 

6. Your Account and Password

6.1. You must treat your login details as confidential. You must not disclose them to any third party. 

6.2. We reserve the right to disable any user or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these TOU. If you know or suspect that anyone other than you knows your login details, you must promptly notify us.

 

7. Confidentiality

7.1. Each document you may access on our portal is commercially sensitive and you must always keep them confidential.

7.2. You have only been given access to the documents on our portal for the purposes of performing your contractual obligations to us and you must not use the documents for any other purpose.

7.3. If you are aware of a breach (or of breaches) of confidentiality in relation to the documents provided to you on our portal, you must notify us as soon as reasonably practicable and comply with our reasonable directions to remedy the breach (or breaches).

 

8. Intellectual Property Rights

8.1. We own or have licensed the intellectual property rights in our portal and in the documents published on it. These works are protected by copyright laws and treaties around the world. All such rights are reserved. 

8.2. You may print off one copy, and may download extracts, of any page(s) from documents on our portal for your internal business purposes and you may draw the attention of others within your organisation to content posted on our portal for the purpose of performing your contractual obligations to us. 

8.3. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of content on our portal must always be acknowledged. You must not use any part of the content on our portal for your or any other party’s commercial purposes without obtaining a licence to do so from us or our licensors. 

8.4. Except as expressly permitted above, you may not (except to the extent required in order to use this portal in accordance with these TOU) copy, store in any medium, distribute, transmit, re-transmit, broadcast, modify, delete, or show in public any part of this portal or systematically extract material from this portal or any document available through it, create any derivative works from it, or in any other way exploit commercially all or any part of this portal or any document available through it without our prior written consent. If you do so, your right to use our portal will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

 

9. Limitation of Our Liability

9.1. Nothing in these TOU excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our portal or any content on it, whether express or implied. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of, or inability to use, our portal; or
  • use of or reliance on any content displayed on our portal.
  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.
 

10. No Reliance on Information

The content on our portal is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our portal. Although we make reasonable efforts to update the information on our portal, we make no representations, warranties or guarantees, whether express or implied, that the content on our portal is accurate, complete or up-to-date.

 

11. Suspension and Termination

11.1. We will determine, in our discretion, whether there has been a breach of this TOU through your use of our portal. When a breach of this TOU has occurred, we may take such action as we deem appropriate. 

11.2. Failure to comply with the TOU may result in our taking all or any of the following actions:

  • Immediate, temporary, or permanent suspension or withdrawal of your right to use our portal.
  • Issue of a warning to you.
  • Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
 

12. General

12.1. These TOU represent the entire agreement relating to the use of our portal and supersede all other statements, representations or warranties (whether written, made by email or oral) made by us. Nothing in these TOU shall affect the liability of either party in respect of any misrepresentation, warranty or condition that it makes fraudulently. Any rights not expressly granted in these TOU are reserved by us.

12.2. If any of these TOU are or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect:  

  • the legality, validity or enforceability in that jurisdiction of any other term or condition, which shall continue to have full force and effect; or 
  • the legality, validity or enforceability in other jurisdictions of that or any other term or condition, which shall continue to have full force and effect. 

12.3. A person who is not a party to these TOU may not enforce any of them under the Contracts (Rights of Third Parties) Act 1999. 

12.4. No waiver of any of these terms shall be valid unless specifically provided in writing by us. 

12.5. We shall not be liable to you for any delay in, or failure of, performance of our obligations under these TOU arising from any cause beyond our reasonable control including, but not limited to, any of the following: act of God, governmental act, war, fire, flood, epidemic or pandemic, explosion or civil commotion, failure in information technology or telecommunications services, failure of a third party (including but not limited to the portal provider) and industrial action.

12.6. Any dispute arising between you and us in relation to this portal shall be governed by English law. 

12.7. We both agree to the exclusive jurisdiction of the courts of England and Wales for the purposes of any such dispute.
